### What You'll Do:

The CoreWeave Legal and Government Affairs (LGA) team at CoreWeave is highly collaborative and partners closely with teams across the company to navigate complex legal landscapes while enabling innovation and growth. As Senior Counsel, Commercial, you will support our rapidly growing Global Field Organization (GFO) business in its U.S. West region. ### About the role:

Reporting to the Director and Managing Assistant General Counsel - Commercial Americas, you will partner closely with Sales, Product, Security, Privacy, Finance, and Operations teams to support complex commercial cloud sales SaaS and Infrastructure/IaaS transactions with enterprise customers and strategic partners. You will play a key role in negotiating agreements, advising on legal and commercial risk, and helping scale the legal processes that support CoreWeave's continued growth.

In this role, you will:

  • Draft, review, and negotiate complex commercial technology agreements with enterprise customers, including cloud services, SaaS, infrastructure/IaaS, software licensing, professional services, partnership, and data processing agreements.
  • Partner closely with CoreWeave's GFO U.S. West Region teams to support enterprise sales cycles and drive customer transactions to successful outcomes.
  • Serve as the trusted legal advisor and partner to the GFO U.S. West Region sales leadership team and account executives.
  • Advise internal stakeholders on legal, privacy, and commercial risks arising from customer transactions and recommend practical solutions.
  • Manage multiple concurrent transactions while balancing legal risk, business objectives, and operational efficiency for a fast-moving sales organization.
  • Support strategic customer engagements by providing practical, business-oriented legal guidance throughout the transaction lifecycle.
  • Identify and escalate novel, complex, or high-risk issues while exercising sound legal and business judgment.
  • Help develop and improve contract templates, playbooks, policies, and processes that enable efficient and scalable support for a rapidly growing global business.
  • Coordinate with outside counsel when needed to support specialized legal matters.

### Who You Are:

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 8+ years experience gained from a law firm, and/or with in-house experience gained within a fast-paced technology company.
  • Substantial commercial and complex technology contracting experience: Cloud, AI, SaaS, IaaS, PaaS.
  • Experience with complex, high-value, or infrastructure-heavy transactions both within and outside of the US. Direct exposure to cross-border deal structures is a strong plus.
  • Strong drafting and negotiation skills, sound commercial judgment, and clear written and verbal communication.
  • You exercise independent judgment and excellent attention to detail.
  • Comfortable operating at a fast pace with a high degree of independence across U.S. time zones.
  • Experience counseling senior business leaders on business and legal risks.
  • Track record of building or improving process, workflows, templates and playbooks to scale repeatable deal execution.

The base salary range for this role is $157,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).
