About This Role
Crusoe is seeking a Legal Counsel – Finance and Corporate Development to join our team. Reporting to the Assistant General Counsel (AGC) – Finance and Corporate Development, this high-impact position operates at the intersection of corporate finance and strategic transactions. You will be a member of a lean, growing team and a trusted advisor on some of the company’s most consequential work, including major corporate- and project-level debt financings for a well-funded technology infrastructure company.
This role is well-suited for a candidate who enjoys executing high-velocity corporate transactions and supporting ongoing covenant compliance, equally comfortable leading a negotiation as they are running a closing. The ideal candidate is a proven solution-oriented deal specialist who can translate their significant, substantive transactional expertise to new deal types and structures.
What You’ll Be Working On
- Corporate & Strategic Transactions: Execute corporate financing and capital markets transactions, including revolving credit facilities, asset-backed term loans, and structured finance, from term sheet through closing, driving deals independently with input and guidance from the AGC. Advise Finance stakeholders regarding contract terms, legal and business risks, and other critical transaction matters. Support corporate development/strategic transactions as requested.
- Agreement Drafting & Negotiation: Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, parent guarantees, security packages, and ancillary documents, exercising strong judgment on risk allocation and deal structure.
- Due Diligence & Deal Management: Support the Finance team on due diligence and manage document flow and closing logistics across outside counsel and internal teams.
- Post-Closing & Compliance: Support the Finance team with ongoing covenant compliance.
- Entity Management & Operations: Support entity formations, intercompany transactions, and related corporate functions. Maintain organized internal deal files and develop standardized templates to improve team efficiency and transaction consistency.
- Cross-Functional Communication and Support: You will work closely across multiple business teams, including Finance and Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial. You will present complex legal concepts clearly to the AGC and non-legal audiences, coordinating between outside counsel and internal teams.
What You’ll Bring to the Team
- Education & Bar: Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.
- Experience: 7-10 years of transactional legal experience, with significant and progressive experience in complex corporate and finance transactions at a top-tier law firm or in-house legal department.
- Teamwork: Highly collaborative, low-ego, adaptable team player who thrives working within a small team to learn, problem-solve, achieve shared outcomes, and drive culture.
- Technical Expertise and Deal Management: Expertise in drafting, structuring, and negotiating loan or other financing documentation with exceptional attention to detail.
- Business Acumen: Demonstrated strong business judgment, with a proven ability to balance legal risks against commercial objectives.
- Governance Knowledge: Strong working knowledge of corporate governance and compliance best practices.
- Execution Under Pressure: Experience managing multiple high-stakes workstreams simultaneously in a fast-paced, dynamic environment.
- Discretion: Handles highly sensitive and confidential information with the utmost professionalism.
- Tech Stack: Proficiency with Google Workspace, Microsoft Office, and AI tools.
- Safety and Compliance: This position is designated a safety-sensitive position and/or is located in a safety-sensitive facility. Drug and alcohol program participation is required.

Compensation Range
Compensation will be paid in the range of up to $215,000 -$255,000 + Bonus. Restricted Stock Units are included in all offers. Compensation to be determined by the applicant's knowledge, education, and abilities, as well as internal equity and alignment with market data.
