About the Role
The Senior Equity Administrator is responsible for managing and administering the organization's equity compensation programs, including stock options, restricted stock units (RSUs), performance shares, and employee stock purchase plans (ESPP). This role involves processing equity transactions, managing vendor relationships, supporting annual grant programs, and ensuring compliance with securities laws and accounting standards. This position requires strong technical proficiency in equity administration and platform management, attention to detail, and the ability to collaborate effectively with cross-functional teams across HR, Finance and Legal.
About You
Key Responsibilities:
- Oversee the administration of annual equity grant programs, including communication, implementation, and follow-up
- Process and administer equity transactions, including stock option grants, RSUs grants, vesting, exercises, settlements, terminations, and related activities in compliance with plan provisions, regulatory requirements, and internal controls
- Determine appropriate equity packages for new hires, promotions, annual grants and other equity adjustments based on established guidelines
- Maintain accurate and up-to-date equity records, cap tables, and documentation
- Manage vendor relationships with equity plan administrators, transfer agents, and service providers to ensure high-quality service delivery
- Ensure compliance with federal, state, and local securities laws and regulations, as well as accounting standards (ASC 718) related to equity compensation
- Prepare Section 16 reports (Forms 3, 4, and 5) with the SEC within Workiva
- Ensure SOX compliance and controls on all aspects of the equity plan, including documentation, testing, and audit support
- Conduct equity compensation market research and analysis to support competitive and equitable equity practices
- Collaborate with cross-functional teams including Finance, Legal, Tax, and Payroll to optimize the effectiveness of equity compensation programs
- Provide guidance and support to the HR team and management regarding equity compensation policies and administration
- Support the HR team with various projects and initiatives as needed
Minimum Qualifications:
- Bachelor's degree in a related field (or equivalent work experience in lieu of degree or Master's degree + 6 years of experience)
- Typically 8+ years of experience in equity compensation administration
- Extensive experience with equity administration in a corporate environment, including managing complex stock plan structures and multiple equity vehicles
- Advanced analytical and problem-solving skills, with the ability to interpret and apply complex equity compensation regulations, tax implications, and accounting standards
- Expertise in using advanced Excel functions, such as pivot tables, VLOOKUP, and complex formulas, to perform equity data analysis and generate detailed cap table reports
- Strong project management and organizational skills, with the ability to manage multiple high-priority projects and deadlines
- Demonstrated ability to work independently and as part of a team
- Detail-oriented with a commitment to accuracy and compliance in all equity-related processes
- Ability to handle sensitive and confidential information with discretion and professionalism
- Knowledge of SEC regulations, Rule 10b5-1 trading plans, Section 16 reporting, and blackout period administration
- Advanced proficiency in equity administration platforms (e.g., E*TRADE, Fidelity, Shareworks, Carta) and Microsoft Office Suite
Preferred Qualifications:
- Certified Equity Professional (CEP) certification
- Proven experience in vendor management and strategic planning
- Excellent communication and interpersonal skills, with the ability to effectively present information and respond to questions from employees, managers, and senior leadership regarding equity compensation
Compensation
Pay Range:
$126,675.00 - $174,198.75
