# About the Role

As a "Junior Plus" role, this position is designed for a self-starter who has mastered corporate basics and is ready to partner with our Paralegal. You will own the day-to-day administrative lifecycle of our entities while collaborating on high-level strategic projects. This is the perfect next step for someone who has "survived" their first year in a fast-paced environment and seeks both independent ownership and professional mentorship.

## Key Responsibilities

  • Entity Management & Partnership: Partner with the Paralegal to maintain our global entity structure; independently execute annual report filings, formations, and qualifications across multiple jurisdictions.
  • Corporate Secretarial Operations: Maintain digital and physical minute books in collaboration with the legal team; draft standard board/shareholder resolutions, written consents, and incumbency certificates for review.
  • Contract Lifecycle Management (CLM): Serve as the primary lead for the CLM system, ensuring data integrity and correct tagging while collaborating with stakeholders to manage the renewal pipeline.
  • Joint Risk & Governance Support: Partner with the Paralegal to execute the company’s risk management strategy. This includes reviewing corporate documents, facilitating board-level changes, and leading in data-gathering in diligence requests.
  • Information Governance: Work alongside the Paralegal to facilitate due diligence requests; own the organization and maintenance of document retention systems and virtual data rooms.
  • Cross-Functional Collaboration: Join forces with Integrations, Business Development, Tax, Finance, and HR to provide the corporate documentation necessary for internal operational projects.

## Skills & Qualifications

  • Experience: 1–2 years of full-time experience in a corporate legal environment. You should be familiar with the "rhythm" of a legal department.
  • Collaborative Mindset: A "no task too small" attitude with the ability to work on a team.
  • Corporate Knowledge: Solid understanding of corporate formalities (LLCs vs. Corps) and the ability to explain them to internal stakeholders.
  • Technical Proficiency: High level of skill in Microsoft Word (Styles) and Excel. Experience with CLM and entity management software is a major plus.
  • Communication: Proven ability to communicate professionally with external vendors and internal executives.
  • The "Junior Plus" Edge: Exceptional attention to detail and the ability to manage a steady workflow with minimal daily supervision, knowing exactly when to "check in" and when to "charge ahead."
